What This Means (2024 FDD)
According to the 2024 Crown Gold Exchange Franchise Disclosure Document, the laws of the State of Idaho govern all adversarial proceedings between the parties in a Multi-Unit Development Agreement (MUDA). This is specified without giving effect to Idaho's principles of conflicts of law.
This means that if Crown Gold Exchange and a franchisee have a legal dispute related to the MUDA, Idaho law will be used to resolve the issue, regardless of where the franchisee's business is located or where the dispute arises. However, the FDD specifies that any Idaho law for the protection of franchisees or business opportunity purchasers will not apply unless its jurisdictional requirements are met independently without reference to this specific section.
This clause is important for prospective franchisees to understand, as it dictates the legal framework under which any disputes with Crown Gold Exchange will be resolved. Franchisees should be aware of Idaho law and how it may differ from the laws of their own state. It is advisable to seek legal counsel to fully understand the implications of this clause before entering into a MUDA with Crown Gold Exchange.
