What This Means (2024 FDD)

According to the 2024 Crown Gold Exchange Franchise Disclosure Document, in any legal proceeding related to the Franchise Agreement, the non-prevailing party is responsible for covering the prevailing party's attorney fees, costs, and other legal expenses. The FDD defines the "prevailing party" as the party that prevails on the central litigated issues and obtains substantial relief.

This means that if a Crown Gold Exchange franchisee is involved in a legal dispute with Crown Gold Exchange (or vice versa) and the franchisee loses on the main points of the case, the franchisee will likely have to pay Crown Gold Exchange's legal costs in addition to their own. Conversely, if the franchisee wins substantially on the key issues, Crown Gold Exchange would be responsible for the franchisee's legal fees.

This clause can have significant financial implications for a prospective Crown Gold Exchange franchisee. Legal battles can be expensive, and the risk of having to pay the opposing party's legal fees could deter a franchisee from pursuing legitimate claims or defenses. It also incentivizes both parties to focus on the most important issues in a dispute and to seek a resolution that avoids a clear win or loss for either side. Franchisees should carefully consider this clause and its potential impact before signing the Franchise Agreement.
