What This Means (2024 FDD)

According to Crown Gold Exchange's 2024 Franchise Disclosure Document, Crown Gold Exchange is not obligated to pay amounts owed by the franchisee to suppliers or other third parties. However, Crown Gold Exchange has the option to pay any amount that the franchisee owes to a supplier or other third party on the franchisee's behalf. If Crown Gold Exchange chooses to do so, the franchisee must reimburse Crown Gold Exchange for the amount paid plus a 10% administrative charge within 15 days of receiving an invoice from Crown Gold Exchange, along with reasonable documentation.

This means that if a Crown Gold Exchange franchisee fails to pay a supplier, the supplier cannot demand payment from Crown Gold Exchange. However, Crown Gold Exchange can step in and pay the supplier to maintain good relationships or ensure continued supply. This is a right, not an obligation, on the part of Crown Gold Exchange.

For a prospective franchisee, this clause offers a potential safety net. While Crown Gold Exchange is not required to cover a franchisee's debts, they have the option to do so, which could be beneficial in certain circumstances. However, franchisees should be aware that if Crown Gold Exchange does make a payment on their behalf, they will be required to promptly reimburse the franchisor with an additional 10% administrative fee.
