What This Means (2024 FDD)
According to the 2024 Crown Gold Exchange Franchise Disclosure Document, a franchisee is explicitly prohibited from using confidential information in any business other than their Crown Gold Exchange franchise. The franchisee must adhere to Crown Gold Franchising's procedures for maintaining confidentiality and can only disclose confidential information to employees to the extent necessary for operating the Crown Gold Exchange business. This restriction applies both during and after the term of the Franchise Agreement, surviving indefinitely after termination or expiration.
This restriction is significant because it protects Crown Gold Exchange's proprietary information and business methods. Confidential information includes customer data and other non-public data generated by the business, which is exclusively owned by Crown Gold Franchising. The franchisee acknowledges that all customer data generated or obtained is Confidential Information belonging to Crown Gold Franchising.
The franchisee must exercise diligence in maintaining the confidentiality of all such information and promptly report any unauthorized disclosure or use of confidential information. This obligation extends beyond the duration of the franchise agreement, ensuring the continued protection of Crown Gold Exchange's confidential information even after the franchisee exits the system.
This is a standard practice in franchising, as franchisors need to protect their trade secrets and business methods. Prospective franchisees should understand the scope of confidential information and the restrictions on its use, as violations could lead to legal consequences.
