What This Means (2024 FDD)

According to the 2024 Crisp & Green Franchise Disclosure Document, the addendum for the state of Maryland includes specific conditions for its provisions to be effective. Each provision within the addendum to both the Franchise Disclosure Document and the Area Development Agreement is effective only if the jurisdictional requirements of the Maryland Franchise Registration and Disclosure Law are independently met, without relying on the addendum itself.

This means that for any of the modifications or additions in the addendum to apply, the situation must already fall under the purview of Maryland's franchise laws. The addendum cannot be used to create jurisdiction where it wouldn't otherwise exist. This ensures that the protections and modifications provided by the addendum are only applicable when Maryland law is inherently relevant.

For a prospective Crisp & Green franchisee in Maryland, this implies that they should be aware of the base requirements of Maryland's franchise laws. The addendum serves to clarify or modify certain aspects of the standard franchise agreement in light of Maryland law, but it doesn't replace the need to understand the underlying legal framework. Franchisees should consult with legal counsel to determine whether their specific circumstances meet the jurisdictional requirements for the addendum's provisions to take effect.
