What This Means (2024 FDD)
According to the 2024 Crisp & Green Franchise Disclosure Document, franchisees may engage in activities not explicitly prohibited by the Franchise Agreement and Area Development Agreement. This implies that if an activity isn't specifically restricted in these documents, franchisees are generally free to pursue it. However, Crisp & Green retains broad rights regarding territory and competition.
Crisp & Green reserves the right to operate or authorize others to operate restaurants at non-traditional sites such as military bases, shopping malls, airports, and college campuses, even within a franchisee's designated area. They can also establish restaurants outside a franchisee's designated area, sell delivery and catering services into the area, and use various distribution channels like the internet or grocery stores to sell products. Furthermore, Crisp & Green can own and operate businesses offering similar products under different franchise systems, operate other restaurants not identified with the Crisp & Green brand (even if competitive), acquire and convert existing businesses into Crisp & Green restaurants, or be acquired by a business that competes with the franchise.
These extensive reserved rights mean that a Crisp & Green franchisee's territory is non-exclusive, and they may face competition from other franchisees, company-owned outlets, or alternative distribution channels controlled by Crisp & Green. Franchisees do not receive compensation if Crisp & Green solicits or accepts orders from within their designated area. Therefore, prospective franchisees should carefully consider the potential for competition and the limitations on their territorial exclusivity before investing in a Crisp & Green franchise.
