What This Means (2024 FDD)

According to the 2024 Crisp & Green Franchise Disclosure Document, a standard transfer fee is required to transfer a franchise to a new operator. Specifically, Crisp & Green requires that before they approve any proposed transferee to begin conducting business activities at the Franchised Restaurant as its authorized operator, the franchisee must ensure that Crisp & Green receives a transfer fee.

The standard transfer fee is equal to the then-current initial franchise fee, which under the Franchise Agreement is $64,500. However, if the proposed transferee is already a then-current Crisp & Green franchisee of a Restaurant, the transfer fee is reduced to $10,000.

This fee covers Crisp & Green's costs associated with the transfer, such as reviewing the transferee's qualifications, providing training, and updating the franchise agreement. The new franchisee will also need to sign Crisp & Green's then-current standard form of franchise agreement with a term of ten (10) years and related documents used in the state in which the Franchised Restaurant is located, which may provide for different royalties, advertising contributions and expenditures, duration and other rights and obligations than those provided in this Agreement and which Crisp & Green may require to be guaranteed by you and your Principal Owners.
