According to Crisp & Green's 2024 Franchise Disclosure Document, Section 2.03, titled "Our Reservation of Rights," outlines the rights that Crisp & Green retains, beyond those related to restaurant maintenance. This section clarifies that Crisp & Green and its affiliates maintain full discretion over the Marks, the System, and the operation or franchising of Crisp & Green Restaurants. This extends to the sale of similar or dissimilar products and services, irrespective of location, within or outside a franchisee's Designated Area.
Specifically, Crisp & Green reserves the right to establish and operate Crisp & Green Restaurants outside the Designated Area under terms they deem appropriate. This includes the right to offer catering or delivery services within a franchisee's Development Area. They can also establish restaurants at Non-Traditional Sites using the Crisp & Green System and Marks, and sell products through alternative channels of distribution like the internet or kiosks.
Furthermore, Crisp & Green can operate restaurants under different trademarks and service marks, even within a franchisee's Development Area, and acquire businesses offering similar or dissimilar products and services. These rights are retained by Crisp & Green and their affiliates, successors, and assigns, allowing them to engage in any business activities they desire, without obligation or liability to the franchisee, as long as they do not violate Section 2.02 regarding the franchisee's Designated Area.
