What This Means (2024 FDD)

According to the 2024 Crisp & Green Franchise Disclosure Document, the addendum to the franchise agreement for the state of Virginia is to ensure compliance with Virginia statutes and regulations. The addendum is only effective if the jurisdictional requirements of Virginia laws applicable to franchises are met independently, without relying on the addendum itself. This means the underlying franchise transaction must already fall under Virginia's franchise laws for the addendum to apply.

The addendum modifies certain aspects of the standard Crisp & Green franchise agreement to align with the Virginia Retail Franchising Act. Specifically, it addresses termination clauses, ensuring that Crisp & Green cannot cancel a franchise without "reasonable cause" as defined by Virginia law. It also clarifies that only written agreements are binding, subject to state law, and that any representations or promises made outside of the official documents may not be enforceable.

Furthermore, the addendum protects franchisees by preventing them from waiving claims under Virginia franchise law or disclaiming reliance on statements made by Crisp & Green or its representatives. This provision overrides any conflicting terms in other franchise documents. In essence, the Virginia addendum aims to provide additional legal safeguards to Crisp & Green franchisees operating within the Commonwealth, ensuring their rights are protected under state law.
