2. DEVELOPMENT FEE.
You must pay us a Development Fee in the amount set forth in the Rider. This fee is payable in full when you sign this Agreement. However, you will not be required to pay an initial franchise fee for any of the Franchised Restaurants you develop under this Agreement.
- B. The Development Fee is consideration for this Agreement and not consideration for any Franchise Agreement, is fully earned by us upon execution of this Agreement, and is nonrefundable. If you fail or choose not to develop any Franchised Restaurant that is permitted under this Agreement, you will not be entitled to any return or refund of the Development Fee or any portion thereof.

What This Means (2024 FDD)
According to the 2024 Crisp & Green Franchise Disclosure Document, the Development Fee is nonrefundable. The Development Fee is consideration for the Area Development Agreement, not for any individual Franchise Agreement. Crisp & Green states that the Development Fee is fully earned upon execution of the Area Development Agreement.
This means that if a prospective Crisp & Green franchisee signs an Area Development Agreement and pays the Development Fee, but then fails or chooses not to develop any Franchised Restaurants as permitted under the agreement, they will not receive a refund of the Development Fee or any portion of it. This is a standard practice in franchising, as the fee compensates the franchisor for granting the development rights and foregoing other opportunities in the designated area.
Prospective Crisp & Green franchisees should carefully consider the Development Schedule and their ability to meet its requirements before signing an Area Development Agreement and paying the Development Fee. Due diligence is essential to ensure they are committed to developing the agreed-upon number of restaurants within the specified timeframe, as failure to do so will result in the loss of the Development Fee.
