What This Means (2024 FDD)
Based on the 2024 Crisp & Green Franchise Disclosure Document, a material breach of the Area Development Agreement occurs if the franchisee fails to sign a Franchise Agreement, open a Restaurant, or have the required cumulative number of Restaurants open and operating by the dates outlined in the Development Schedule. According to the document, such a failure gives Crisp & Green the right to immediately terminate the Area Development Agreement at their sole discretion, as stated in Section 5 of the agreement.
This condition emphasizes the importance of adhering to the Development Schedule outlined in the Area Development Agreement. Prospective Crisp & Green franchisees should carefully review this schedule and assess their ability to meet these obligations before entering into the agreement. Failure to meet these developmental milestones can result in the immediate termination of the agreement, potentially leading to a significant loss of investment and opportunity.
It is important to note that the restaurant industry is competitive and market conditions are constantly changing. The success of a Crisp & Green restaurant depends on the franchisee's business abilities and efforts. The FDD also states that the franchisee acknowledges they have read the agreement and the Franchise Disclosure Document and have conducted an independent investigation and analysis of the prospects for establishing Restaurants within the Development Area.
