What This Means (2025 FDD)

According to Crepe De Licious's 2025 Franchise Disclosure Document, Crepe De Licious has the ability to modify the terms of the agreement with written notice. Crepe De Licious can modify the terms of the agreement by limiting the scope of prohibited activities, narrowing the definition of a competitive business, shortening the duration of the restricted period, reducing the geographic scope of the restricted territory, and/or reducing the scope of any other covenant imposed upon the franchisee under the agreement.

This modification can be done unilaterally, meaning Crepe De Licious does not need the franchisee's consent to make these changes. However, Crepe De Licious must provide written notice to the franchisee before implementing any modifications. The purpose of these modifications is to ensure that the terms and covenants in the agreement are enforceable under applicable law.

For a prospective franchisee, this clause offers both potential benefits and risks. On one hand, it provides Crepe De Licious with the flexibility to adjust the agreement in response to changes in the legal or business environment, which could ultimately benefit the franchisee. On the other hand, it gives Crepe De Licious significant power to alter the terms of the agreement, potentially to the detriment of the franchisee. It is important for a prospective franchisee to carefully consider this clause and understand the potential implications before entering into a franchise agreement with Crepe De Licious.
