According to Crepe De Licious's 2025 Franchise Disclosure Document, the 'Marks' that Crepe De Licious licenses to its franchisees include service marks, trademarks, trade names, trade dress, logos, slogans, and commercial symbols. These marks are used to identify the Crepe De Licious restaurant or kiosk, as well as the specific items and services offered. The definition of 'Marks' also includes the logotypes, service marks, and trademarks involved in the operation of the Crepe De Licious business, including the trademarked name "CREPE DE LICIOUS".
Crepe De Licious or its affiliates retain all rights, title, and interest in the Marks. Franchisees do not acquire any proprietary interest in the Marks and cannot challenge the ownership or right to use them, except as expressly provided in the Franchise Agreement. The franchisee's right to use the Marks is a nonexclusive license granted solely under the agreement.
Crepe De Licious takes steps to protect the ownership and validity of the Marks, and franchisees must cooperate in maintaining registrations and prosecuting applications for the Marks. Franchisees are required to display the Marks and provide notice of trademark registration as directed by Crepe De Licious, including using "CREPE DE LICIOUS" or as otherwise required in the Operations Manual.
In essence, as a Crepe De Licious franchisee, you are granted a limited, non-exclusive license to use the brand's trademarks and identifying symbols to operate your franchise. However, Crepe De Licious retains ultimate control and ownership of these Marks, ensuring brand consistency and protection across all franchise locations.
