Answer from 2025 FDD Document

Any Designated Manager and, if you are an entity, any officer that does not own equity in the franchisee entity must sign the System Protection Agreement, the form of which is attached to this Franchise Disclosure Document in Exhibit G. All of your employees, independent contractors, agents, or representatives that may have access to our Confidential Information must sign a Confidentiality Agreement (unless they already signed a System Protection Agreement), the current form of which is attached to this Franchise Disclosure Document in Exhibit G. If you are an entity, each owner (i.e., each person holding an ownership interest in you) must sign an Owners Agreement guarantying the obligations of the entity in the form of which is attached to the Franchise Agreement as Attachment C. We also require that the spouses of the Franchise owners sign the Owners Agreement.

What This Means (2025 FDD)

According to the 2025 Crepe De Licious Franchise Disclosure Document, the current form of the Confidentiality Agreement is attached to the FDD as Exhibit G. This agreement is required for any employees, independent contractors, agents, or representatives who may have access to Crepe De Licious's confidential information, unless they have already signed a System Protection Agreement.

Additionally, the FDD states that any officer of the franchisee entity who does not own equity in the franchisee entity must sign the System Protection Agreement, which is also found in Exhibit G. Franchisees who are entities must also have each owner sign an Owners Agreement guaranteeing the entity's obligations; the form for this agreement is attached to the Franchise Agreement as Attachment C. Spouses of the franchise owners must also sign the Owners Agreement.

It is important for prospective franchisees to carefully review Exhibit G to understand the full scope and terms of the Confidentiality Agreement and System Protection Agreement, as these documents outline the obligations and restrictions related to protecting Crepe De Licious's confidential information and trade secrets. Franchisees should also review Attachment C to understand the obligations within the Owners Agreement.
