What This Means (2025 FDD)
According to Cream's 2025 Franchise Disclosure Document, Cream is not required to indemnify franchisees for damages or expenses in legal proceedings involving copyrighted works. Cream explicitly states that while they claim copyrights in various materials such as the Brand Manual, digital content, advertising, and design elements, they are not obligated to defend these copyrights or provide financial assistance to franchisees in case of copyright-related legal issues.
This means that if a franchisee is sued for copyright infringement related to the use of Cream's materials, the franchisee will be responsible for their own legal defense and any resulting damages. Cream retains control over any action involving their copyrighted works, even if the franchisee brings the matter to their attention, and they are not required to take any action or participate in the franchisee's defense.
This lack of indemnification is a significant risk for prospective Cream franchisees. It is common in franchising for franchisors to offer some level of indemnification to protect franchisees from legal liabilities arising from the use of the franchisor's trademarks or copyrighted materials. The fact that Cream does not offer this protection means that franchisees must be prepared to bear the full financial burden of any copyright-related lawsuits, which could be substantial. Franchisees should consider obtaining their own insurance to cover such risks and consult with an attorney to fully understand their potential liabilities.
Prospective franchisees should carefully consider this lack of indemnification and factor it into their decision-making process. It is crucial to assess the potential risks and costs associated with operating a Cream franchise and to determine whether the potential rewards outweigh the risks, especially in light of the absence of franchisor support in copyright-related legal matters.
