You agree at all times to operate and maintain your Shop according to each and every System Standard, as we periodically modify and supplement them. Though we retain the right to establish and periodically modify System Standards, you retain the sole responsibility for the day-to-day management and operation of your Shop and the implementation and maintenance of System Standards at your Shop. According to Cream's 2025 Franchise Disclosure Document, franchisees must operate their shops according to the System Standards, which Cream can modify and supplement periodically. These standards can regulate any aspect of the shop's operation and maintenance. Cream retains the right to establish and modify these standards, but the franchisee is responsible for the day-to-day management, operation, implementation, and maintenance of these standards at their shop.
Item 16 specifies that franchisees must offer and sell all products and services that Cream specifies, and they cannot offer or sell any unauthorized products or services. Cream can authorize certain locations to offer different or modified products and services and is not obligated to offer the same products or services at every location. If a franchisee fails to meet Cream's system standards for offering or selling any products or services, Cream can permanently or temporarily terminate the franchisee's right to offer or sell such products or services.
Item 23 outlines several scenarios where a franchisee could face consequences for failing to comply with the Franchise Agreement, including violations of laws or regulations, failure to make payments, or repeated non-compliance with the agreement. Specifically, if a franchisee fails on three or more separate occasions within any 12 consecutive month period to comply with the agreement, Cream may take action, regardless of whether the franchisee was notified of the failures or corrected them. Upon termination or expiration of the agreement, the franchisee must cease operating the business, return or destroy confidential information, and comply with all standards related to winding down the business. Additionally, the franchisee is prohibited from disparaging Cream, its affiliates, or the Cream brand, which could negatively impact the goodwill of the system.
