A. BACKGROUND.

  • (1) We have developed and will continue to develop a system for the operation of shops offering ice cream as well as other beverages, products, accessories, and merchandise authorized by us from time to time (each a "Jeni's Ice Creams Scoop Shop"). Jeni's Ice Creams Scoop Shops are developed and operated using certain specified and distinct business formats, methods, procedures, designs, layouts, standards, and specifications, all of which may be improved, further developed, or otherwise modified from time to time (the "System").
  • (2) We and our affiliates own, use, promote, and license others the right to use and promote certain trademarks, service marks, trade dress, and other commercial symbols and indicia for Jeni's Ice Creams Scoop Shops, including the "Jeni's" trademark, and may create, use, and license other trademarks, service marks, and commercial symbols to identify Jeni's Ice Creams Scoop Shops and the products and services offered by Jeni's Ice Creams Scoop Shops (collectively, the "Marks").
  • (3) We grant franchises for Jeni's Ice Creams Scoop Shops to persons who we determine meet our qualifications, and who confirm their willingness to undertake the investment and effort to own and operate a Jeni's Ice Creams Scoop Shop using the Marks and the System.
