In the fiscal year ending December 31, 2023, Brand Fund contributions were expended on website enhancement, digital marketing and search engine optimization marketing. Although the Brand Fund is intended to be of perpetual duration, we may terminate it at any time and for any reason or no reason. We will not terminate the Brand Fund, however, until all monies in the Brand Fund have been spent for advertising or promotional purposes or returned to contributors, without interest, on the basis of their respective contributions.

What This Means (2024 FDD)
According to the 2024 Crawlspace Medic Franchise Disclosure Document, Crawlspace Medic retains the right to terminate the Brand Fund at any time, for any reason, or for no reason at all. However, there is a stipulation regarding the funds within the Brand Fund at the time of termination.
Specifically, Crawlspace Medic is obligated to ensure that all monies within the Brand Fund are either fully spent on advertising or promotional activities or returned to the franchisees who contributed to the fund. The return of contributions would be based on each franchisee's respective contribution amount, and these returns would be made without interest.
This clause provides some assurance to franchisees that their contributions to the Brand Fund will be used for their intended purpose or returned to them should Crawlspace Medic decide to discontinue the fund. While the franchisor has broad discretion to terminate the fund, this condition ensures that the accumulated contributions are not misappropriated or used for purposes other than advertising and promotion or returned to the franchisees.
