What This Means (2024 FDD)

According to the 2024 Crawlspace Medic Franchise Disclosure Document, Crawlspace Medic retains the right to match any offer made to purchase a Crawlspace Medic franchise. As part of this right, Crawlspace Medic can substitute cash for any existing financing agreement that may be part of the offer.

This provision gives Crawlspace Medic considerable flexibility if a franchisee seeks to sell their business. By being able to replace financing with cash, Crawlspace Medic can ensure a smooth transfer of ownership and maintain control over who joins their franchise system. This could be particularly relevant if the proposed buyer's financing terms are unfavorable or if Crawlspace Medic prefers a simpler transaction.

For a prospective Crawlspace Medic franchisee, this clause means that if they decide to sell their franchise in the future, Crawlspace Medic has the option to step in and purchase the business themselves, potentially disrupting a sale to a third party. While this could be seen as a limitation on the franchisee's ability to sell to whomever they choose, it also provides a potential exit strategy if no other buyers are available. Franchisees should consider this clause carefully and understand its implications for their long-term plans.

It is important for potential franchisees to discuss this provision with Crawlspace Medic during their due diligence to fully understand the circumstances under which Crawlspace Medic might exercise this right and how it could impact the franchisee's ability to realize the full value of their business upon sale.
