You may not use our Marks for any other business, and you may not conduct any other business from your Franchised Business location without our prior approval. You cannot engage in any other business that competes with your Franchised Business, with our affiliates, or us or with Crawlspace Medic outlets owned by other franchisees, whether such business is inside or outside of the Territory.

What This Means (2024 FDD)

According to the 2024 Crawlspace Medic Franchise Disclosure Document, franchisees are restricted from engaging in competing businesses both inside and outside of their designated territory. Specifically, a Crawlspace Medic franchisee cannot participate in any business that competes with their franchised business, Crawlspace Medic's affiliates, or Crawlspace Medic outlets owned by other franchisees, regardless of whether the competing business is located within or outside the franchisee's territory. This restriction is designed to protect the Crawlspace Medic system and brand from direct competition by its own franchisees.

This non-compete obligation extends beyond the term of the franchise agreement. For a period of twenty-four months after the agreement expires or is terminated, the franchisee and any principals are prohibited from participating in any crawlspace or basement service business within twenty-five miles of the territory or any Crawlspace Medic location. This includes acting as an owner, partner, director, officer, employee, consultant, or agent in such a business. The restrictions also prevent franchisees from diverting business or customers to competitors, seeking to employ Crawlspace Medic's personnel, or engaging in any action that harms the goodwill associated with the Crawlspace Medic brand.

The FDD states that these restrictions are considered fair and reasonable, given that franchisees and principals possess other skills and experience that allow them to pursue income from other ventures. However, if any of the restrictions regarding time or geographic scope are deemed unreasonable, they will be reduced to an enforceable level. Crawlspace Medic also retains the right to modify the scope of these covenants.

Crawlspace Medic emphasizes that violating these non-compete agreements would cause immediate and irreparable harm to the franchisor, for which legal remedies may be inadequate. Consequently, franchisees consent to injunctive relief to prevent any conduct that breaches these covenants. The existence of any claims the franchisee may have against Crawlspace Medic does not serve as a defense against the enforcement of these non-compete obligations.
