n shall be set forth on Attachment 2 of this Agreement, which location and attachment shall be incorporated herein and made a part hereof.
- 8.2. Construction. Franchisee shall be responsible for equipping and outfitting their Crawlspace Medic location and vehicle as outlined in the Operations Manual. Franchisor will provide sample layout and specs.
- 8.3. Time to Open. Franchisee acknowledges that time is of the essence in this Agreement. Subject to Franchisee's compliance with the conditions stated below, Franchisee shall open the Franchised Business and commence business within ninety (90) days after Franchisee has signed the Franchise Agreement, unless Franchisee obtains a written extension of such time period from Franchisor. The date the Franchised Business opens for business to the public shall be defined herein as the "Opening Date". Prior to the Opening Date, Franchisee shall (i) complete all modifications for the Franchised Business location and vehicle, including installation of equipment and signage, in accordance with System requirements and the plans and specifications consented to by Franchisor, (ii) satisfactorily complete Franchisor's Initial Training Program, as further set forth in Article 7, (iii) hire and train staff, if required, and (iv) obtain all required licenses to operate the Franchised Business. If Franchisee fails to comply with any of such obligations, Franchisor shall have the right to prohibit Franchisee from opening for business. Franchisee's failure to open the Franchised Business and commence
- business (i) in accordance with the foregoing and (ii) within one hundred twenty (120) days following the date of this Agreement shall be deemed a material event of default under this Agreement.
- 8.4. No Relocation. Franchisee's rights to operate the Franchised Business shall be limited to the location set forth in Attachment 1, and no other.

What This Means (2024 FDD)
According to the 2024 Crawlspace Medic FDD, franchisees are responsible for equipping and outfitting their Crawlspace Medic location and vehicle as outlined in the Operations Manual. Crawlspace Medic will provide sample layouts and specifications to assist with this process. Franchisees must select a warehouse site within their territory that provides secure vehicle and equipment storage, with the location having approximately 1,000 square feet of warehouse and office space. The franchisee's vehicle must also meet the minimum specifications detailed in the Operations Manual.
Crawlspace Medic also provides criteria and specifications for vehicle modification, including signage, color, and equipment modifications. The franchisee is responsible for independently modifying the vehicle at their own expense to meet these criteria. Additionally, Crawlspace Medic will provide a written list of required and recommended equipment, fixtures, signage, supplies, and/or products needed to open the franchise for business.
Prior to opening, franchisees must complete all modifications to the location and vehicle, including equipment and signage installation, according to Crawlspace Medic's system requirements and approved plans. They must also complete the initial training program, hire and train staff if needed, and obtain all required licenses to operate the business. Failure to meet these obligations may result in Crawlspace Medic prohibiting the franchisee from opening for business. Territory selection criteria will be determined as Crawlspace Medic deems advisable, and Crawlspace Medic will approve the franchise location.
