What is the 'Principal Mark' under which a Crawlspace Medic franchisee operates?

According to the 2024 Crawlspace Medic Franchise Disclosure Document, a franchisee will operate under the "Crawlspace Medic" service mark, which is considered the 'Principal Mark.' Crawlspace Medic, LLC owns the Marks and has granted rights to use the Marks in the operation of a Crawlspace Medic outlet. The franchisor has registered several marks on the Principal Register of the United States Patent and Trademark Office. These marks include the Crawlspace Medic logo, HEALTHY CRAWLSPACE, HEALTHY HOME, A HEALTHY HOME STARTS FROM THE GROUND UP, and another logo.

The FDD states that franchisees must notify Crawlspace Medic immediately if they become aware of any infringement or challenges to the use of the Principal Mark or other Marks. Crawlspace Medic will then take action it deems appropriate and will indemnify the franchisee for expenses and damages arising from claims challenging the authorized use of the Principal Mark, provided the franchisee has given timely notice and is in full compliance with the Franchise Agreement. Crawlspace Medic retains the right to control any administrative proceedings or litigation involving the Principal Mark. Franchisees are obligated to cooperate fully with Crawlspace Medic in defending or settling any litigation.

Crawlspace Medic also reserves the right to substitute different Marks if the current Marks can no longer be used or if the franchisor determines that a substitution would benefit the system. In such a case, franchisees may be required to modify or stop using any Mark, including the Principal Mark, at their own expense, or to use one or more additional or substitute Marks. Franchisees are prohibited from contesting Crawlspace Medic's rights to the Principal Mark or other Marks. As of the date of the 2024 Disclosure Document, Crawlspace Medic is not aware of any superior prior rights or infringing uses that could materially affect a franchisee's use of the Principal Mark.
