What This Means (2024 FDD)
According to the 2024 Crawlspace Medic Franchise Disclosure Document, Crawlspace Medic retains the right to purchase, merge, acquire, or affiliate with any existing competitive or non-competitive business, regardless of its location. Following such an acquisition or merger, Crawlspace Medic can operate, franchise, or license these businesses under its existing Marks or any other marks, irrespective of where these facilities are located. This includes the possibility of operating within a Crawlspace Medic developer's designated Development Area or territory.
This clause means that a Crawlspace Medic developer's territory is not entirely exclusive in the event of an acquisition. While the developer is granted a specific Development Area, Crawlspace Medic reserves the right to operate acquired businesses, even if they fall within that area. However, for a regular franchisee, Crawlspace Medic states that it will not convert any acquired facilities operating within the franchisee's Territory to a Crawlspace Medic franchise during the term of the agreement.
This has significant implications for prospective Crawlspace Medic developers and franchisees. While franchisees are given a protected territory, Crawlspace Medic retains considerable flexibility to expand its footprint through acquisitions, potentially impacting the market share and revenue of existing franchisees and developers. Franchisees should seek clarification regarding the criteria and process Crawlspace Medic uses when considering acquisitions that might overlap with existing territories, and how Crawlspace Medic plans to mitigate potential conflicts or competitive pressures that may arise from such situations.
