What This Means (2024 FDD)
According to Crawlspace Medic's 2024 Franchise Disclosure Document, franchisees are obligated to notify the company of any infringements or challenges to the use of both the Principal Mark and other Marks. This means that the franchisee's responsibility isn't limited to just the primary Crawlspace Medic service mark under which they operate.
This obligation is significant because it requires franchisees to be vigilant about protecting all of Crawlspace Medic's trademarks, not just the most prominent one. If a franchisee fails to report an infringement of any of the company's marks, it could potentially affect their indemnification. Crawlspace Medic states that if the franchisee provides timely notice and is in full compliance with the Franchise Agreement, Crawlspace Medic will indemnify the franchisee for all expenses and damages arising from any claim challenging the authorized use of the Principal Mark or other Marks.
Crawlspace Medic retains control over any administrative proceedings or litigation involving any licensed mark and the franchisee must cooperate fully in defending or settling any litigation. Franchisees are also prohibited from contesting Crawlspace Medic's rights to the Principal Mark or other Marks, ensuring the franchisor's ownership and control over its brand identity.
This requirement is fairly standard in franchising, as franchisors need to protect their trademarks to maintain brand consistency and prevent consumer confusion. By placing this responsibility on franchisees, Crawlspace Medic can leverage a wider network of eyes and ears to monitor potential infringements across different territories.
