Validity.
Franchisee shall not contest the validity of, or Franchisor or Licensor's interest in, the Intellectual Property or assist others to contest the validity of, or Franchisor or Licensor's interest in, the Intellectual Property.

What This Means (2024 FDD)
According to the 2024 Crawlspace Medic Franchise Disclosure Document, franchisees are prohibited from contesting the validity of Crawlspace Medic's intellectual property. This includes directly challenging the validity or assisting others in doing so. The Intellectual Property includes trademarks, copyrights, trade secrets, service marks, trade dress and proprietary systems.
This provision is standard in franchise agreements to protect the franchisor's brand and proprietary information. By agreeing not to contest the intellectual property, a Crawlspace Medic franchisee acknowledges the value and ownership of these assets by the franchisor. Unauthorized use of the Intellectual Property constitutes an infringement of Crawlspace Medic's rights and a material event of default under the agreement.
Furthermore, the franchisee must assist Crawlspace Medic by providing any necessary documents or information to fully secure the franchisor's rights to the Intellectual Property. Crawlspace Medic also retains the right to substitute different marks if it benefits the system, without liability for any expenses or losses incurred by the franchisee as a result of these changes. The franchisee also agrees not to initiate any legal proceedings against Crawlspace Medic for any losses or damages related to these substitutions.
