Crawlspace_Medic Franchise · 2024 FDDAnswer from 2024 FDD Document
- 16.2. Restrictions on Transfers by Franchisee. Franchisee's rights and duties under this Agreement are personal to Franchisee as it is organized and with the Principals of the business as they exist on the date of execution of this Agreement, and Franchisor has made this Agreement with Franchisee in reliance on Franchisor's perceptions of the individual and collective character, skill, aptitude, attitude, business ability, and financial capacity of Franchisee. Thus, no transfer, as hereafter defined, may be made without Franchisor's prior written approval. Franchisor may void any transfer made without such approval.

What This Means (2024 FDD)
Based on the 2024 Crawlspace Medic Franchise Disclosure Document, the Franchise Agreement specifies that the franchisee's rights and duties are personal to the franchisee and the principals of the business as they exist on the date of the agreement's execution. Crawlspace Medic emphasizes that they enter the agreement relying on their perceptions of the individual and collective character, skill, aptitude, attitude, business ability, and financial capacity of the franchisee. This indicates that Crawlspace Medic places significant importance on the capabilities and involvement of the franchisee and its principals.
Furthermore, the Franchise Agreement states that the franchisee cannot transfer the agreement or any rights or interests without the prior written consent of Crawlspace Medic. Crawlspace Medic may void any transfer made without such approval. This restriction on transferability reinforces the idea that Crawlspace Medic expects a certain level of personal supervision and involvement from the original franchisee and its principals, as their qualities were a key factor in awarding the franchise.
While the FDD does not explicitly state that the franchisee MUST personally supervise the Franchised Business, the language regarding the personal nature of the agreement and the restrictions on transfer suggest that Crawlspace Medic expects the franchisee and its principals to be actively involved in the business. A prospective franchisee should clarify with Crawlspace Medic the extent of personal supervision required and whether there are any exceptions or conditions under which a manager could fulfill this role.
