Does the Crawlspace Medic Franchise Agreement grant franchisees any right to participate in franchises, licensing programs, or other business proposals for the sale and distribution of products or services through Alternate Distribution Channels?

According to Crawlspace Medic's 2024 Franchise Disclosure Document, the Franchise Agreement does not grant franchisees any right to participate in franchises, licensing programs, or other business proposals for the sale and distribution of Crawlspace Medic products or services through Alternate Distribution Channels. Alternate Distribution Channels include methods of distribution other than a dedicated Crawlspace Medic outlet location, such as the Internet.

Crawlspace Medic reserves all rights not expressly granted in the Franchise Agreement. Crawlspace Medic or its affiliates may own, operate, or authorize others to own or operate Crawlspace Medic outlets outside of a franchisee's territory and may operate other kinds of businesses within the territory. Crawlspace Medic and its affiliates may sell products and services under the Marks within or outside the Territory through any method of distribution other than a dedicated Crawlspace Medic outlet location, including licensing designs for use in other formats, and sales through such channels of distribution as the Internet (Alternative Distribution Channels).

This means that while franchisees operate their Crawlspace Medic business within their designated territory, they have no rights to expand their involvement with the brand through alternative channels. Crawlspace Medic retains full control over these alternative distribution methods, which could include online sales, licensing agreements, or other business proposals. Franchisees will not receive compensation for Crawlspace Medic's sales through Alternative Distribution Channels in the Territory. This ensures that Crawlspace Medic can explore new market opportunities without being obligated to include existing franchisees.
