What constitutes infringement of Crawlspace Medic's Intellectual Property by a franchisee?

According to the 2024 Crawlspace Medic Franchise Disclosure Document, any unauthorized use of Crawlspace Medic's Intellectual Property by a franchisee constitutes an infringement of Crawlspace Medic's rights. This is also considered a material event of default under the franchise agreement.

Specifically, franchisees must identify themselves as the owner of the franchised business and as an independent Crawlspace Medic franchisee in conjunction with any use of the Intellectual Property. This includes uses on invoices, order forms, receipts, and contracts. Franchisees must also display a notice in a conspicuous location on the premises of the franchised business, as designated by Crawlspace Medic in writing.

Furthermore, franchisees are prohibited from using the Marks, or any portions, variations, or derivatives thereof, as part of its corporate or other legal name. Any item offered by the franchisee that contains the Marks must be approved by Crawlspace Medic in writing before being distributed or sold. Franchisees are also not allowed to contest the validity of Crawlspace Medic's interest in the Intellectual Property or assist others in doing so.

Upon termination or expiration of the franchise agreement, the franchisee must immediately cease operating the franchised business and cannot identify themselves as a current Crawlspace Medic owner, franchisee, or licensee. They must also immediately and permanently cease using the Marks, any imitation of any Mark, Crawlspace Medic's designs, copyrighted material, or other intellectual property.
