- 7.2.8 fails to comply with the non-disclosure and non-competition covenants in Article 8 hereof;
What This Means (2024 FDD)
Based on the 2024 Crawlspace Medic Franchise Disclosure Document, if a franchisee fails to comply with the non-disclosure and non-competition covenants outlined in Article 8 of the agreement, it constitutes a material default. This gives Crawlspace Medic the option to terminate the agreement and all rights granted to the franchisee immediately upon notice, without providing any opportunity to correct the violation.
Item 8 generally covers restrictions and obligations related to suppliers, while Item 9 details the franchisee's obligations. A violation in this area, such as using unauthorized suppliers or disclosing confidential information, triggers the default clause. This means Crawlspace Medic can terminate the franchise agreement, effectively ending the franchisee's right to operate under the Crawlspace Medic brand.
This is a significant risk for franchisees, as it means a single violation, without a chance to rectify it, can lead to the loss of their entire business. Franchisees should carefully review Article 8 and understand their obligations regarding suppliers, non-disclosure, and non-competition to avoid such a situation. It is also important to note that the existence of any claims the franchisee may have against Crawlspace Medic does not constitute a defense against the enforcement of these covenants.
