Answer from 2024 FDD Document

Although the Brand Fund is intended to be of perpetual duration, we may terminate it at any time and for any reason or no reason. We will not terminate the Brand Fund, however, until all monies in the Brand Fund have been spent for advertising or promotional purposes or returned to contributors, without interest, on the basis of their respective contributions.

What This Means (2024 FDD)

According to Crawl Space Ninja's 2024 Franchise Disclosure Document, the Brand Fund is intended to be of perpetual duration; however, Crawl Space Ninja may terminate it at any time and for any reason. If the Brand Fund is terminated, all monies in the fund must be spent for advertising or promotional purposes, or the monies will be returned to the contributors (franchisees), without interest, based on their respective contributions.

For a Crawl Space Ninja franchisee, this means that while the Brand Fund is generally intended to be ongoing, there is a possibility it could be terminated. If this happens, franchisees are entitled to receive back their contributions, without interest, if the funds are not used for advertising or promotion. This provides some assurance that the contributions will either be used for their intended purpose or returned to the franchisees.

It is important to note that Crawl Space Ninja has the discretion to decide whether to spend the remaining funds on advertising or return them to franchisees. A prospective franchisee may want to inquire about the specific conditions or criteria Crawl Space Ninja would use to make this decision, as well as historical examples of how similar situations have been handled in other franchise systems.
