Releasor (on behalf of itself and its parents, subsidiaries and affiliates and their respective past and present officers, directors, shareholders, managers, members, partners, agents, and employees (collectively, the "Releasing Parties")) hereby releases Crave Cookies Franchising, its affiliates, and their respective directors, officers, shareholders, employees, and agents (collectively, the "Released Parties") from any and all claims, causes of action, suits, debts, agreements, promises, demands, liabilities, contractual rights and/or obligations, of whatever nature, known or unknown, which any Releasing Party now has or ever had against any Released Party based upon and/or arising out of events that occurred through the date hereof, including without limitation, anything arising out of the Franchise Agreement (collectively, "Claims").

What This Means (2025 FDD)

According to Crave Cookies' 2025 Franchise Disclosure Document, the General Release does cover both known and unknown claims. The release states that the Releasing Parties release the Released Parties from any and all claims, causes of action, suits, debts, agreements, promises, demands, liabilities, contractual rights and/or obligations, of whatever nature, known or unknown, which any Releasing Party now has or ever had against any Released Party based upon and/or arising out of events that occurred through the date hereof, including without limitation, anything arising out of the Franchise Agreement. This means that by signing the release, a franchisee gives up any right to sue Crave Cookies for anything that has happened up to the date of the release, whether or not the franchisee is even aware of the basis for the claim.

The General Release includes a covenant not to sue, preventing the Releasor from initiating or participating in any legal proceedings against the Released Parties regarding any Claim. The Releasor also warrants that they are the sole owner of all Claims and have the authority to sign the Release. They acknowledge that the release serves as a complete defense against any Claim.

However, the General Release includes some limitations. It does not apply to any liability under the Maryland Franchise Registration and Disclosure Law, or to claims arising under the Washington Franchise Investment Protection Act. These exceptions protect franchisees in those states by preserving their rights under state franchise laws, regardless of the General Release. Prospective franchisees should carefully review the General Release and consult with legal counsel to understand its implications fully, especially concerning any potential claims they may have against Crave Cookies.
