What This Means (2025 FDD)

According to Crave Cookies's 2025 Franchise Disclosure Document, the General Release does contain the entire agreement of the parties concerning the subject matter of the release. Specifically, the FDD states that the release document encompasses all understandings between the releasor and Crave Cookies Franchising, LLC, regarding the matters addressed within the release itself. This means that any prior agreements or discussions not included in the written General Release are not considered part of the agreement.

However, the Crave Cookies FDD also notes two important exceptions to this rule. First, the release does not apply to any liability under the Maryland Franchise Registration and Disclosure Law. Second, for franchisees in the state of Washington, the general release does not apply to claims arising under the Washington Franchise Investment Protection Act, RCW 19.100, and the rules adopted thereunder. These exceptions ensure that franchisees retain their rights and protections under these state-specific franchise laws, regardless of the terms of the General Release.

This clause is fairly standard in franchise agreements. Prospective Crave Cookies franchisees should carefully review the General Release and understand its implications, especially in relation to any existing disputes or potential claims they may have against the franchisor. It is also advisable to consult with legal counsel to fully understand the scope and effect of the release, particularly in light of the exceptions for Maryland and Washington franchisees.
