What This Means (2025 FDD)
According to Crave's 2025 Franchise Disclosure Document, 'Electronic Advertising' encompasses domain names, social media accounts, software accounts, hypertext markup language, uniform resource locator addresses, access to corresponding internet websites, and the right to hyperlink to certain websites and listings on various internet search engines. This definition is relevant to the franchised business and the brand's trademarks.
For a prospective Crave franchisee, this means that any online presence or advertising related to the franchise falls under the umbrella of 'Electronic Advertising.' This includes not only traditional websites but also extends to social media and software applications. The franchisee may acquire rights or interests in these areas during the term of the Franchise Agreement.
Upon termination of the Franchise Agreement, or even periodically if requested by Crave, the franchisee is obligated to transfer all rights and interests in the 'Electronic Advertising' to Crave. This transfer includes directing internet service providers, domain name registries, internet search engines, social media and software companies, and other listing agencies to transfer the franchisee's interest in such advertising to Crave. If Crave does not want to accept these assets, the franchisee must terminate them as directed by Crave. This ensures that Crave maintains control over its brand's online presence and marketing efforts.
Crave also retains control over the brand's online presence by establishing and maintaining all internet, worldwide web, and electronic commerce activities. While Crave may provide a "click through" subpage on their website for the franchisee's business, franchisees are generally restricted from creating their own websites or online presences that incorporate the Crave name or trademarks without prior written approval. This centralized approach allows Crave to maintain brand consistency and manage online marketing strategies effectively.
