  • 7.9 In no event shall any Franchised Business be opened for business unless and until a Franchise Agreement for such Franchised Business has been fully executed and the initial franchise fee for such Franchised Business has been fully paid.

AMERICANS WITH DISABILITIES ACT CERTIFICATION

CRAVE Franchising, LLC ("Franchisor") and ("Franchisee") are parties , to for a the Franchise operation Agreement of dated a Crave restaurant at (the "Franchised Business"). In accordance with Article 2 of the Franchise Agreement, Franchisee certifies to Franchisor that, to the best of Franchisee's knowledge, the Franchised Business and its adjacent areas comply with all applicable federal, state and local accessibility laws, statutes, codes, rules, regulations and standards, including but not limited to the Americans with Disabilities Act. Franchisee acknowledges that it is an independent licensee and the requirement of this certification by Franchisee does not constitute ownership, control, leasing or operation of the Franchised Business. Franchisee acknowledges that Franchisee has relied on the information contained in this certification. Furthermore, Franchisee acknowledge its obligation under this Franchise Agreement directors, to and indemnify employees of and the in officers, connection with any and all claims, losses, costs, expenses, liabilities, compliance costs, and damages incurred by the indemnified party(ies) as a result of any matters associated with Franchisee's compliance with the Americans with Disabilities Act, as well as the costs, including attorneys' fees, related to the same. WHEREAS, Franchisee desires to enter into a franchise agreement with Franchisor for a Crave business ("Franchise Agreement") which will allow Franchisee to conduct internet-based advertising, maintain social media accounts, software accounts, and use telephone listings linked to the Crave brand.

  • 7.7 You shall comply with all requirements of federal, state and local laws, rules and regulations.

In the State of South Dakota, we will defer the payment of the initial franchise fee, development fee, and any other initial payment until all of our material pre-opening obligations have been satisfied and until you open your business and it is operating. However, you must execute the Franchise Agreement prior to looking for a site or beginning training.

What This Means (2025 FDD)

According to Crave's 2025 Franchise Disclosure Document, a franchisee must first execute the Franchise Agreement and fully pay the initial franchise fee before opening for business. Prior to this, in the State of South Dakota, the franchisee must execute the Franchise Agreement before looking for a site or beginning training; however, the payment of the initial franchise fee, development fee, and any other initial payment will be deferred until all of Crave's material pre-opening obligations have been satisfied and until the franchisee opens their business and it is operating.

Crave also requires franchisees to locate a site for the Franchised Business. Once a site is selected, Crave will review the site selection for conformity to their standards and criteria for site selection and acquisition, upon receipt of the franchisee's written request for approval. Franchisees must also certify that, to the best of their knowledge, the Franchised Business and its adjacent areas comply with all applicable federal, state and local accessibility laws, statutes, codes, rules, regulations and standards, including but not limited to the Americans with Disabilities Act.

Furthermore, franchisees are required to conduct internet-based advertising, maintain social media accounts, software accounts, and use telephone listings linked to the Crave brand. Franchisees must also comply with the terms and provisions of the Internet Advertising and Telephone Accounts Agreement. Franchisees are also responsible for the performance of all obligations arising out of the operation of their business, including the payment when due of any and all taxes levied or assessed by reason of such operation. Franchisees must also comply with all requirements of federal, state and local laws, rules and regulations.
