What This Means (2025 FDD)
According to the 2025 Craters & Freighters Franchise Disclosure Document, franchisees must sign certain instruments and documents to protect the franchisor's interests, specifically regarding confidential information, trade secrets, and copyrighted works. Franchisees must sign any and all instruments and documents, provide assistance, and perform actions deemed necessary by Craters & Freighters' counsel to protect and maintain their interests in any litigation or proceeding, as well as to protect their copyrighted works, confidential information, and trade secrets.
Furthermore, the owners, officers, directors, shareholders, and partners of the franchisee entity are required to execute a confidentiality and non-competition agreement. This agreement is in a prescribed form and attached to the Franchise Agreement as Exhibit E, ensuring that all relevant parties are bound by the confidentiality and non-competition terms. This is a common practice in franchising to safeguard the franchisor's proprietary information and prevent unfair competition.
In practical terms, this means a prospective Craters & Freighters franchisee should carefully review Exhibit E of the Franchise Agreement to understand the full scope of the confidentiality and non-competition obligations. They should also be prepared to comply with any requests from Craters & Freighters to sign additional documents or provide assistance in legal matters related to the protection of the franchisor's intellectual property. Failure to comply with these requirements could potentially lead to legal repercussions or termination of the franchise agreement.
