This Agreement is made between Crab N Spice Group, a California corporation ("CNS Franchising"), and Franchisee effective as of the date signed by CNS Franchising (the "Effective Date").
Background Statement:
- A. CNS Franchising and its affiliates Ventura Crab N Spice, Inc. and Antelope Valley Crab N Spice, Inc. have created and own a system (the "System") for developing and operating a seafood restaurant under the trade name "Crab N Spice".
- B. The System includes (1) methods, procedures, and standards for developing and operating a Crab N Spice business, (2) plans, specifications, equipment, signage and trade dress for Crab N Spice businesses, (3) particular products and services, (4) the Marks, (5) training programs, (6) business knowledge, (7) marketing plans and concepts, and (8) other mandatory or optional elements as determined by CNS Franchising from time to time.
- C. The parties desire that CNS Franchising license the Marks and the System to Franchisee for Franchisee to develop and operate a Crab N Spice business on the terms and conditions of this Agreement.

Furthermore, CNS Franchising has the right to approve the franchisee's designated Principal Executive, who must have at least 10% ownership interest and devote substantial time to the business. CNS Franchising also requires a personal guaranty from each owner if the franchisee is an entity, ensuring the franchisee's obligations are met. CNS Franchising may delegate its duties under the agreement to an affiliate or third party and may vary or waive System Standards for specific franchises based on local conditions, without entitling other franchisees to the same variations.
