What This Means (2024 FDD)

According to Crab N Spice's 2024 Franchise Disclosure Document, a Market Cooperative is dedicated to administering regional advertising and marketing programs. It also develops standardized promotional materials, subject to Crab N Spice's approval, for members to use in local advertising and promotion. This means that franchisees will participate in a regional marketing effort, pooling resources with other franchisees in their area to promote the Crab N Spice brand collectively.

However, Crab N Spice retains significant control over the Market Cooperative. The franchisor can require the cooperative to adopt bylaws, attend meetings, and even assume decision-making authority over how cooperative funds are spent if the members cannot agree. Furthermore, all advertising and promotional plans must receive prior approval from Crab N Spice, and the franchisor can designate the advertising agencies used by the cooperative. This level of control ensures brand consistency and allows Crab N Spice to guide marketing efforts at the regional level.

Franchisees should be aware that membership in a Market Cooperative is typically mandatory if one exists for their geographic area. The cooperative is funded by member dues, which are determined by a majority vote but must be no less than 1% of Gross Sales. While franchisees have a say in setting the dues, Crab N Spice ultimately enforces the obligation to contribute. Additionally, Crab N Spice has the right to terminate any Market Cooperative, with any remaining funds transferred to the Marketing Fund, which is controlled by the franchisor. Franchisees are also required to spend at least 2% of Gross Sales each month on marketing the Business.

In summary, the Market Cooperative offers a structured approach to regional marketing, but franchisees should carefully consider the level of control Crab N Spice maintains and the financial obligations involved. Understanding how these cooperatives operate and interact with the national Marketing Fund is crucial for assessing the overall marketing strategy and potential costs associated with a Crab N Spice franchise.
