What This Means (2024 FDD)

According to Crab N Spice's 2024 Franchise Disclosure Document, CNS Franchising, the franchisor, will automatically own all innovations conceived or developed by a franchisee, its employees, agents, or contractors. These innovations encompass all ideas, plans, improvements, concepts, methods, and techniques related to the Crab N Spice business.

This means that if a franchisee develops a new method for preparing seafood, a marketing strategy, or any other improvement related to the business, the franchisor gains ownership of that innovation. The franchisee will not receive any compensation for these innovations, regardless of their potential value.

Crab N Spice has the right to incorporate any innovations into the System, which includes methods, procedures, standards, plans, equipment, and other elements of the Crab N Spice business. The franchisee is obligated to execute any documents reasonably requested by CNS Franchising to formally document the franchisor's ownership of the innovations.

This clause highlights the importance for prospective franchisees to understand that any creative or innovative contributions they make to the Crab N Spice business become the property of the franchisor, without any financial benefit to the franchisee. This is a fairly common practice in franchising, as franchisors seek to maintain uniformity and control over their brand and system, but franchisees should carefully consider this before signing the agreement.
