Guarantor acknowledges that all Confidential Information is owned by CNS Franchising or its affiliates (except for Confidential Information which CNS Franchising
licenses from another person or entity). Guarantor acknowledges that all customer data generated or obtained by Guarantor is Confidential Information belonging to CNS Franchising. This Section will survive the termination or expiration of the Franchise Agreement indefinitely.

What This Means (2024 FDD)
According to Crab N Spice's 2024 Franchise Disclosure Document, CNS Franchising or its affiliates own the confidential information related to the Crab N Spice franchise. The only exception is for confidential information that CNS Franchising licenses from another person or entity.
The franchisee acknowledges that all customer data generated or obtained is confidential information belonging to CNS Franchising. This includes, but is not limited to, methods for developing and operating the business, non-public plans, data, financial information, processes, vendor pricing, supply systems, marketing systems, formulas, techniques, designs, layouts, operating procedures, customer data, information, and know-how.
The Guarantor, who signs a personal guarantee if the franchisee is an entity, must adhere to security procedures, limit disclosure to employees, avoid unauthorized use, maintain confidentiality during and after the franchise term, and report any unauthorized disclosure. These obligations regarding confidential information survive the termination or expiration of the Franchise Agreement indefinitely.
