What This Means (2024 FDD)
According to Crab N Spice's 2024 Franchise Disclosure Document, if a franchisee leases their location, they must comply with the terms of that lease. This obligation is part of the broader requirement that franchisees pay all vendors and suppliers in a timely manner.
This means a prospective Crab N Spice franchisee needs to carefully review and understand the lease agreement before signing it. The franchisee is responsible for fulfilling all obligations outlined in the lease, such as paying rent on time, maintaining the premises, and adhering to any restrictions on use. Failure to comply with the lease could result in eviction and potential termination of the Franchise Agreement.
Furthermore, the Landlord is required to provide Crab N Spice with copies of any default notices given to the franchisee and Crab N Spice has the option to cure the default within 10 days of the franchisee's cure period expiring. The Landlord must also copy Crab N Spice on any lease termination notices. If the lease is terminated due to the franchisee's default, Crab N Spice has the option to enter into a new lease with the Landlord under the same terms as the original lease, provided they notify the Landlord within 15 days of receiving the termination notice. If the Franchise Agreement is terminated, the franchisee must assign the lease to Crab N Spice upon their written request, and the Landlord consents to this assignment. The franchisee authorizes the Landlord and Crab N Spice to communicate directly regarding the franchisee and their business.
These stipulations are fairly common in franchise agreements, as they protect the franchisor's brand and ensure business continuity. Crab N Spice retains some control over the location even if the franchisee defaults, giving them the ability to maintain a presence in that market. The franchisee should be aware of these conditions and understand that their lease obligations are not only to the Landlord but also have implications for their relationship with Crab N Spice.
