What This Means (2024 FDD)
According to Crab N Spice's 2024 Franchise Disclosure Document, franchisees are required to disclose any innovations related to the business to CNS Franchising. These innovations encompass all ideas, plans, improvements, concepts, methods, and techniques conceived or developed by the franchisee, their employees, agents, or contractors.
CNS Franchising will automatically own all such innovations. They have the right to use and incorporate these innovations into the Crab N Spice system without providing any compensation to the franchisee. This means that if a franchisee develops a new cooking method, marketing strategy, or operational improvement, Crab N Spice can adopt it across the entire franchise network without paying the franchisee for their idea.
To ensure CNS Franchising's ownership of these innovations is properly documented, the franchisee must execute any documents reasonably requested by CNS Franchising. This requirement protects Crab N Spice's intellectual property rights and allows them to maintain uniformity and consistency across all franchise locations by implementing successful innovations. Prospective franchisees should be aware that any improvements they develop for the business become the property of the franchisor.
