| (i) | Franchisee must possess sufficient financial and organizational capacity to develop, | |
| open, operate, and manage each additional Crab N Spice | ||
| business, in the reasonable | ||
| judgment of CNS Franchising, and | ||
| (ii) | Franchisee must be in full compliance with all brand requirements at its open Crab | |
| N Spice | ||
| businesses, and not in default under any Franchise Agreement or any other | ||
| agreement with CNS Franchising. |

What This Means (2024 FDD)
According to the 2024 Crab N Spice Franchise Disclosure Document, a franchisee entering into a Multi-Unit Development Agreement (MUDA) is not obligated to develop every possible location within their designated development area. The agreement is structured more as an option, allowing the franchisee the right, but not the obligation, to develop Crab N Spice businesses within that area.
However, the Crab N Spice MUDA includes a development schedule that the franchisee must adhere to. Failure to meet this schedule can result in the termination of the MUDA by CNS Franchising. If the agreement is terminated due to the franchisee's default, the franchisee will not be held liable for lost future revenues or profits from unopened Crab N Spice businesses.
The franchisee's right to develop each Crab N Spice franchise after the initial store is contingent upon having sufficient financial and organizational capacity, as determined by CNS Franchising, and being in full compliance with brand requirements at their open Crab N Spice businesses, including not being in default under any agreement with CNS Franchising.
