What This Means (2024 FDD)

According to Crab N Spice's 2024 Franchise Disclosure Document, Confidential Information is defined broadly within the franchise agreement. It includes all non-public information related to the Crab N Spice system, CNS Franchising, and any Crab N Spice business. This encompasses methods for developing and operating the business, non-public plans, data, financial information, processes, vendor pricing, supply systems, marketing systems, formulas, techniques, designs, layouts, operating procedures, customer data, information, and know-how.

For a prospective franchisee, this means that a wide array of information they receive or develop in connection with operating their Crab N Spice franchise is considered confidential and proprietary. This imposes a significant responsibility on the franchisee to protect this information and prevent its unauthorized disclosure or use. The franchisee's obligations extend not only to their own actions but also to the actions of their employees and anyone else who might have access to this information through them.

The franchise agreement specifically states that all customer data generated or obtained by the franchisee is Confidential Information belonging to CNS Franchising. This is a common practice in franchising, as the customer base is often considered a valuable asset of the franchise system. The franchisee must treat this data accordingly and protect it from unauthorized use or disclosure.

The obligation to protect Confidential Information continues even after the termination or expiration of the Franchise Agreement, highlighting the enduring importance of this information to the Crab N Spice system. This indefinite survival clause underscores the franchisor's commitment to safeguarding its proprietary information and maintaining a competitive advantage.
