ase in your Territory. However, your right to operate a Franchised Business in the Territory is subject to certain rights reserved by
- us. We, our parent, and our affiliates reserve all rights not expressly granted in the Franchise Agreement. For example, we, our parent, and our affiliates have the right to:
- (a) use other channels of distribution, such as the Internet, catalog sales, telemarketing, or other direct marketing sales, to solicit or accept customers within your Territory using our principal trademarks (or another trademark) without any compensation to you;
- (b) to implement cross-territorial protocols and other guidelines applicable to such situations as group advertising buys by multiple franchisees which may extend into multiple territories, solicitation of orders of individuals who may reside in one Territory, yet work in another, and other cross-territorial situations;
- (c) to establish and operate, and grant rights to others to establish and operate a Franchised Business or similar businesses at any locations outside of the Territory and on any terms and conditions we deem appropriate;
- (d) to own, develop, acquire, be acquired by, merge with, or otherwise engage in any transaction with another businesses (competitive or not), which may offer products and services like your Franchised Business and may have one or more competing outlets within your Territory, however, we will not convert any acquired business in your Territory to a franchise using our primary trademarks during the Term of your Franchise Agreement;
- (e) to operate or franchise a business under a different trademark which such business sells or will sell goods or services like those you will offer, anywhere;
- (f) to negotiate purchase agreements with vendors and suppliers which we reasonably believe are for the benefit of our franchisees; and,
- (g) to engage in any other business activities not expressly prohibited by the Franchise Agreement, anywhere.
Neither we nor an affiliate operates, franchises, or has plans to operate or franchise a business under a different trademark which such business sells or will sell goods or services similar to those you will offer, but we reserve the right to do so.

ITEM 13 TRADEMARKS
The Franchise Agreement licenses to you the right to use the following principal trademarks ("Marks") registered with the U.S. Patent and Trademark Office ("USPTO"):

You must use the Marks in strict compliance with the rules we prescribe and only in connection with the conduct of the Franchised Business. We prohibit you from using the Marks in connection with the sale of any unauthorized service, or in any manner not expressly authorized in writing by us.
There are currently no effective determinations of the USPTO, the Trademark Trial and Appeal Board, or any state trademark administrator or any court;

According to Cr3 American Exteriors's 2025 Franchise Disclosure Document, Cr3 American Exteriors, its parent company, and its affiliates retain several rights that could result in competition with a franchisee's business. Specifically, Cr3 American Exteriors has the right to use other distribution channels like the Internet or direct marketing to solicit customers within a franchisee's territory without compensating the franchisee. They can also implement cross-territorial protocols for advertising and order solicitation.
Furthermore, Cr3 American Exteriors reserves the right to establish or franchise similar businesses outside the franchisee's territory under any terms they deem appropriate. They can also engage in transactions with other businesses, even those that compete with the Cr3 American Exteriors franchise, and these businesses may have competing outlets within the franchisee's territory. However, Cr3 American Exteriors states that they will not convert any acquired business in your territory to a franchise using their primary trademarks during the term of the Franchise Agreement. Additionally, Cr3 American Exteriors can operate or franchise a business under a different trademark that sells similar goods or services anywhere.
While Cr3 American Exteriors states that neither they nor an affiliate currently operates or franchises a business under a different trademark that sells similar goods or services, they reserve the right to do so in the future. A Cr3 American Exteriors franchisee may accept customers from outside of their territory through general networking or referrals from existing customers. However, franchisees are restricted from actively soliciting clients outside their designated area through channels like the Internet or direct marketing, and must make efforts to ensure their internet and social media marketing is tailored to their territory. If more than 25% of a franchisee's gross revenues come from operations outside their territory in any 12-month period, they must purchase an additional franchise or expand their existing territory.
In summary, while Cr3 American Exteriors offers a defined territory, franchisees should be aware that the franchisor retains considerable latitude to engage in activities that could potentially compete with their franchise. Prospective franchisees should carefully consider these factors and discuss any concerns with Cr3 American Exteriors before entering into a Franchise Agreement.
