Counselor owns a proprietary and distinctive system for a network of full service residential and commercial real estate brokerage service businesses (the "System"). The System is described in the Franchise Agreement and in Counselor's Franchise Policy Guidelines. A current Franchise Agreement is included in this Franchise Disclosure Document at Exhibit B. Counselor and its affiliates own various names, trademarks, stylized logos, slogans, and symbols (the "Marks") used in the System. See Item 13.

According to the 2025 Counselor Realty Franchise Disclosure Document, the Counselor Realty System is described in both the Franchise Agreement and in Counselor's Franchise Policy Guidelines. The Franchise Policy Guidelines contain the standards and procedures that franchisees must follow in operating their Counselor Realty businesses.

The Franchise Policy Guidelines are subject to change, and franchisees must comply with any changes Counselor Realty makes, even if those changes require additional investment or expenditures. A copy of the Franchise Policy Guidelines is available for review at Counselor Realty's corporate office in Coon Rapids, Minnesota.

Furthermore, franchisees are required to offer and provide all products and services and continuously operate the business in accordance with the Franchise Policy Guidelines and all applicable laws and regulations. Franchisees must also ensure that their advertising programs, materials, and media conform to Counselor Realty's brand standard and image, and they must alter or remove any advertising materials that Counselor Realty deems non-compliant.
