Does Counselor Realty have an obligation to provide technology-related tools and services to franchisees?

- 6.4 Technology Tools and Services. We may provide you with or require you to utilize such technology related tools (including, but not limited to, mobile applications and other internet or software-based applications) and services relating to the franchised business as we determine from time to time in our sole discretion. We will not be obligated to provide you with any such technology related tools or services, and reserve the right to discontinue providing any such technology related tools and services that we may decide to provide at any time. We also reserve the right to modify the terms and conditions regarding any such technology related tools and services that we may decide to provide at any time. You will be obligated to pay us fees (including the Mobile App Fee described in Section 5.6) associated with any such technology related tools and services that we may decide to provide in such amounts, and at such times, as we shall determine from time to time in our sole discretion .

What This Means (2025 FDD)
According to Counselor Realty's 2025 Franchise Disclosure Document, Counselor Realty is not obligated to provide franchisees with technology-related tools and services. Counselor Realty retains the right to decide what technology-related tools and services, if any, they will offer to franchisees. They also reserve the right to discontinue or modify these tools and services at any time, according to their sole discretion.
If Counselor Realty does decide to provide technology-related tools and services, franchisees are obligated to pay the associated fees. These fees, including the Mobile App Fee, will be determined by Counselor Realty at their discretion, both in amount and payment schedule. This means a franchisee's technology costs could change over time depending on Counselor Realty's decisions.
Counselor Realty will create a separate webpage or subdomain for the franchisee's office and any extension offices on Counselor Realty's website. They will also create webpages or subdomains for licensed agents at the franchisee's request. Franchisees are required to pay a Website Set Up Fee and a Website Fee for these services, with the amounts and payment schedules to be determined by Counselor Realty. Leads generated from Counselor Realty's website for listings in the franchisee's region will be directed to the franchisee's office, unless the lead is for a listing by one of Counselor Realty's or another franchisee's agents, in which case the lead goes to that agent. If there are multiple franchisees in a region, leads will be shared or split at Counselor Realty's discretion, considering factors like office locations and number of agents.
