If your Office (or any Additional Office or Extension Office) is located in one of the aforementioned counties, or if you elect to utilize the Mobile App, you must pay us a Mobile App Fee equal to the costs incurred by Counselor to initiate and continue your Mobile App service, including one-time setup fees and monthly data/phone fees. The amount of the Mobile App Fee may be increased during the term of this Agreement by Counselor from time to time in its sole discretion. At the beginning of each month, we will send you an invoice for the amount of the Mobile App Fee you owe us for the prior month, and you must pay us the amount of such Mobile App Fee on or before the 20th day of such month.

What This Means (2025 FDD)

According to Counselor Realty's 2025 Franchise Disclosure Document, the Mobile App Fee is invoiced monthly and due by the 20th of the month. Specifically, Counselor Realty will send an invoice at the beginning of each month for the Mobile App Fee incurred in the prior month. Franchisees are then required to pay this fee on or before the 20th day of the same month in which the invoice was received.

It's important to note that the Mobile App Fee is not universally required for all Counselor Realty franchisees. It is mandatory for offices located within the 11-county metropolitan area of the Twin Cities of Minneapolis and St. Paul, Minnesota, which includes the Counties of Scott, Wright, Isanti, Dakota, Anoka, Hennepin, Washington, Carver, Ramsey, Sherburne, and Chisago. Outside of this area, the mobile app and its associated fees are optional, unless the franchisee elects to utilize the Mobile App.

Failure to pay the Mobile App Fee by the due date can result in additional charges. Counselor Realty may charge interest on any unpaid past due amounts, accruing from the date the payment was originally due until it is paid. The interest rate will be the lower of 8% per year or the maximum contract rate of interest allowed by law. Additionally, franchisees will be responsible for covering any fees charged by Counselor Realty's bank for returned payments, as well as any costs, including attorney's fees and litigation expenses, incurred by Counselor Realty in collecting past due amounts or enforcing the franchise agreement.
