Counselor offers franchises for a full service residential and commercial real estate brokerage business located within a designated geographic area (the "Territory"). See Item 12.
12. TERRITORY
The Franchise Agreement authorizes you to establish and operate one Counselor Business at a single Office location within a designated geographic area (the "Territory"). You must obtain our written consent prior to opening or operating any additional Office locations. If the population in your Territory at the time you sign the Franchise Agreement is less than 10,000, your Initial Fee will be $7,500; if the population is 10,000 or more, your Initial Fee will be $15,000. Population figures are determined using then-current census data.

What This Means (2025 FDD)
According to Counselor Realty's 2025 Franchise Disclosure Document, the geographic area in which a franchisee is authorized to operate is called the "Territory". The Franchise Agreement allows the franchisee to establish and operate one Counselor Realty business at a single office location within this designated Territory.
The FDD specifies that franchisees must obtain written consent from Counselor Realty before opening or operating any additional office locations. The initial franchise fee varies depending on the population within the Territory. If the population is less than 10,000, the initial fee is $7,500, while a population of 10,000 or more results in a $15,000 initial fee, based on then-current census data.
Prospective franchisees have 180 days after signing the Franchise Agreement to select a site for their office. Counselor Realty then has 30 days to review the proposed site. If the initial site is rejected, the franchisee has an additional 60 days to find an acceptable location. Failure to secure an approved site within this timeframe may lead to termination of the Franchise Agreement and a refund of the initial fee, minus Counselor Realty's expenses. Once a site is approved, the franchisee must open their business within six months, or the initial fee will not be refunded.
