Can Counselor Realty discontinue providing technology-related tools and services that it previously decided to provide?

- 6.4 Technology Tools and Services. We may provide you with or require you to utilize such technology related tools (including, but not limited to, mobile applications and other internet or software-based applications) and services relating to the franchised business as we determine from time to time in our sole discretion. We will not be obligated to provide you with any such technology related tools or services, and reserve the right to discontinue providing any such technology related tools and services that we may decide to provide at any time. We also reserve the right to modify the terms and conditions regarding any such technology related tools and services that we may decide to provide at any time. You will be obligated to pay us fees (including the Mobile App Fee described in Section 5.6) associated with any such technology related tools and services that we may decide to provide in such amounts, and at such times, as we shall determine from time to time in our sole discretion .

According to Counselor Realty's 2025 Franchise Disclosure Document, Counselor Realty has the right to discontinue technology-related tools and services. Counselor Realty is not obligated to provide franchisees with any technology-related tools or services. Counselor Realty reserves the right to discontinue providing any technology-related tools and services that it may decide to provide at any time. Counselor Realty also reserves the right to modify the terms and conditions regarding any technology-related tools and services that it may decide to provide at any time.
As a Counselor Realty franchisee, you will be obligated to pay fees, including the Mobile App Fee, associated with any technology-related tools and services that Counselor Realty decides to provide. The amounts and payment times for these fees will be determined by Counselor Realty at its sole discretion. This means that while Counselor Realty can offer various technology tools, they can also withdraw them, potentially impacting how you run your franchise and the services you offer to clients.
This clause gives Counselor Realty significant flexibility in managing its technology offerings, but it also introduces uncertainty for franchisees. A franchisee might invest time and resources into learning and integrating a particular technology into their business, only to have it discontinued later. Therefore, it is important for a prospective franchisee to discuss with Counselor Realty their long-term technology strategy and the criteria they use for adding, modifying, or discontinuing technology tools and services.
