You must participate in any such a Marketing Cooperative at the time your Restaurant opens for business, and you must immediately become a member of such Marketing Cooperative. If a Marketing Cooperative applicable to your Restaurant is established during the Term, you must become a member no later than 30 days after the date approved by us for the Marketing Cooperative to commence operation.

What This Means (2025 FDD)
According to the 2025 Costa Vida Fresh Mexican Grill FDD, a franchisee must participate in any established Marketing Cooperative at the time their restaurant opens for business. If a Marketing Cooperative applicable to their restaurant is established during the term of the franchise agreement, the franchisee must become a member no later than 30 days after the date approved by Costa Vida Fresh Mexican Grill for the Marketing Cooperative to commence operation.
Costa Vida Fresh Mexican Grill has the right to establish or approve marketing cooperatives for Costa Vida restaurants in local or regional areas. These cooperatives cover geographic areas designated by Costa Vida Fresh Mexican Grill. Each Marketing Cooperative uses a voting system of one vote per eligible Costa Vida restaurant.
The Marketing Cooperative must be organized and governed in a form and manner, and must commence operations on a date, approved in advance by Costa Vida Fresh Mexican Grill in writing. No changes in the by-laws or governing documents of a Marketing Cooperative can be made without the prior written consent of Costa Vida Fresh Mexican Grill. If a franchisee defaults under the Franchise Agreement, fails to pay any amounts due, or fails to comply with any other provision of the agreement, Costa Vida Fresh Mexican Grill may elect not to provide marketing and advertising assistance for the restaurant's grand opening or on an ongoing basis. Costa Vida Fresh Mexican Grill may withhold permission for the franchisee to open their restaurant until the outstanding obligation is paid in full or the default is cured.
